TextLLM LLC Terms of Service

Welcome to TextLLM. By using our services (referred to within this document as the “Service”, “Chad”, or “TextLLM”), you agree to these Terms of Service (“Terms”). Please read them carefully before using our services.
1. Service Overview
TextLLM provides informational responses to customer questions and requests via SMS text messaging using artificial intelligence (referred to on the site and within the service as “Chad”). These responses are purely for informational purposes and are not intended to be marketing or commercial messages. TextLLM does not send unsolicited marketing or commercial communications.
2. Consent to Receive Messages
By sending a message to Chad, you consent to receive informational responses from Chad. This includes responses outside of standard business hours or during designated quiet periods, but only in response to your inbound messages. Chad will not proactively send messages and will only send messages outside of business hours in direct response to specific user inquiries.
3. Frequency of Messages
TextLLM strives to limit the number of messages sent per inbound user message. Typically, this will be fewer than one response for each message received. Chad will not send unsolicited messages, other than occasional reminders during business hours to re-engage lapsed users.
4. Opt-In and Referrals
Sending a message to Chad is considered an opt-in to receive responses from TextLLM. If you include other users in your message to Chad, this will be treated as a referral. Chad will respond to the entire group but will provide each user the option to learn more and to opt-out of future communications if desired.
5. Implicit Opt-In
To the extent allowed by local regulations, if a user does not respond to an opt-out (“STOP”) message, Chad will treat this lack of response as an implicit opt-in to continue receiving messages.
6. Opting Out
To stop receiving messages from Chad, you can reply with “STOP” at any time. Once you opt-out, you will not receive further communications unless you initiate contact again. For assistance with opting out or managing your communication preferences, you can contact support@textllm.com.
7. Messaging and Data Rates
Standard messaging and data rates may apply depending on your mobile carrier and plan. Please check with your carrier for details.
8. No Liability
TextLLM strives to provide accurate and useful information. However, the service is provided on an “as-is” basis, and TextLLM does not guarantee the accuracy, completeness, or reliability of the responses provided. You agree that TextLLM shall not be liable for any decisions or actions taken based on the information provided through the service.
9. Use of Service
You agree to use TextLLM services only for lawful purposes. Any misuse of the service, including sending inappropriate, offensive, or spam messages, may result in termination of access to the service.
10. Changes to These Terms
TextLLM may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page. You are advised to review these Terms periodically for any changes.

By using TextLLM, you acknowledge that you have read, understood, and agree to be bound by these Terms.
12. Your Use of the Services
12.1. Eligibility
In order to use the Services, you need to (1) be 18 years or older, and (2) have the power to enter into legally binding contracts under applicable law. You will not allow any person or entity to access or use the Services using your account other than individuals who have been designated and authorized by you (each an “Authorized User”). You may permit Authorized Users to use the Services, provided that you ensure that each Authorized User complies with all applicable terms and conditions of the Terms, and you are responsible for acts or omissions by Authorized Users in connection with their use of the Services.
12.2. Using Our Services
The Services are the property of TextLLM LLC. So long as you comply with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use. To the extent any component of the Services may be offered under an open-source license, we’ll make that license available to you and the provisions of that license may expressly override some of these Terms.
12.3. Intellectual Property Rights
Our Services are protected by copyright, trademark, and other applicable laws. TextLLM LLC and its licensors exclusively own all rights, title, and interest in and to the Services, including all associated intellectual property rights. These Terms do not grant you any right, title, or interest in the Services, TextLLM LLC’s trademarks, logos, and other brand features.
12.4. User Responsibilities
Your use of our Services must comply with our “User Rules and Prohibitions” outlined in Section 16 below. Content in the Services may be protected by others’ intellectual property rights. You may not copy, upload, download, or share content unless you have the right to do so. TextLLM LLC may review your conduct for compliance with these Terms, but we are not obligated to do so. You may use our Services only as permitted by applicable law, including export control laws and regulations.
12.5. Service Modifications
We’re constantly modifying and improving our Services. TextLLM LLC reserves the right to modify, suspend, or discontinue functions and features of the Services at any time, without notice or liability to you.
13. General Use
We invite you to use the Services for individual, consumer purposes (“Permitted Purposes”). If you are not yet 13 years old, you must have the permission of an adult to use the Services and agree to these Terms, and that adult must be a parent or legal guardian who is willing to be responsible for your use of the Services.
You have no other rights in the Services and you may not modify, edit, copy, reproduce, create derivative works of, reverse engineer, alter, enhance, or in any way exploit any of the Services or Materials in any manner.
14. Subscriptions; Pricing
By registering for an account with TextLLM LLC, you become a “Subscriber” with access to certain Services. Each subscription and the rights and privileges provided to Subscribers are personal and non-transferable. All sales and payments of subscription fees will be in US Dollars.
You agree to pay your subscription fees. Your payment method will be charged for your first subscription fee on the date that we process your registration. Your payment obligations are non-cancelable and non-refundable.
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT (A) WE (OR OUR THIRD-PARTY PAYMENT PROCESSOR) ARE AUTHORIZED TO CHARGE YOU MONTHLY FOR YOUR SUBSCRIPTION (IN ADDITION TO ANY APPLICABLE TAXES AND OTHER CHARGES) FOR AS LONG AS YOUR SUBSCRIPTION CONTINUES AND (B) YOUR SUBSCRIPTION IS CONTINUOUS UNTIL YOU CANCEL IT OR WE TERMINATE YOUR SUBSCRIPTION IN ACCORDANCE WITH THESE TERMS.
14.1. Auto-Renewals, Cancellations, and Terminations
Your subscription shall automatically renew monthly, for additional one-month periods, unless prior to the expiration of your then-current subscription month, you give us written notice that you do not want to renew by sending us an email at support@textllm.com.
14.2 Modifications to Subscription and Subscription Fees
We reserve the right at any time and from time to time to change, modify, add, remove, suspend, cancel, or discontinue any aspect of our subscriptions and our subscription fees in our sole discretion. If the subscription you subscribed to is materially altered, or if we modify the applicable subscription fees, we will give you advance notice, and you will have the opportunity to cancel your subscription in the manner described above if you do not agree to the changes. If you do not cancel in the manner described above, your subscription will continue, and you will be deemed to have accepted the changes.
15. Electronic Communications
By using the Services and/or the Materials, you consent to receiving electronic communications from us. These electronic communications may include notices about applicable fees and charges, transactional information, and other information concerning or related to the Services. These electronic communications are part of your relationship with us. You agree that any notices, agreements, disclosures, or other communications that we send you electronically will satisfy any legal communication requirements, including that such communications be in writing.
16. User Rules and Prohibitions
Unauthorized use of the Services may result in violation of various United States and international copyright laws. We prefer keeping this relationship drama-free, so we want to give you examples of things to avoid. You are not authorized to use the Services or any part thereof in any of the following ways:
• For any commercial purpose which includes use of the Services or any of our Materials on another site or through a networked computer environment;
• In a manner that modifies, publicly displays, publicly performs, reproduces, or distributes any part of the Services;
• In a manner that violates any local, state, national, foreign, or international statute, regulation, rule, order, treaty, or other law;
• Attempt to gain unauthorized access to any portion of the Services or any other accounts, computer systems, or networks connected to the Services, whether through hacking, password mining, or any other means.
You agree to indemnify and hold us harmless if you violate these Terms and that violation results in a problem for us. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TEXTLLM LLC BE LIABLE TO YOU FOR ANY INDIRECT, EXTRAORDINARY, EXEMPLARY, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA, REVENUE, PROFITS, USE OR OTHER ECONOMIC ADVANTAGE) HOWEVER ARISING, EVEN IF TEXTLLM LLC KNOWS THERE IS A POSSIBILITY OF SUCH DAMAGE. IN NO EVENT WILL TEXTLLM LLC’S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF $100 AND THE AMOUNT IN FEES ACTUALLY RECEIVED BY TEXTLLM LLC FROM YOU DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE CLAIM GIVING RISE TO SUCH LIABILITY.
18. Severability
If any clause within this Provision is found to be illegal or unenforceable, that clause will be severed from this Provision, and the remainder of this Provision will be given full force and effect.
19. Survival
Upon any termination of these Terms, your account terminates, and you must cease any further use of the Service. The termination or expiration of these Terms for any reason shall not affect a party’s rights or obligations that expressly or by their nature continue and survive (including, the provisions concerning ownership, license to use Feedback, representations made by you, warranty disclaimers, indemnities, and limitation of liability).
